This is where the sale of a Company’s assets is negotiated prior to the commencement of the Insolvency Process. The sale can be back to the directors of the Company or to another independent third party.

Administrators are appointed once the negotiations are complete and the sale is ready to be concluded. The sale then completes almost immediately upon appointment.

As a result, creditors, shareholders and other potential purchasers do not get to hear about the sale until after it has taken place. It is this non-disclosure that has left this process open to abuse and criticism.

Our regulatory bodies have recently brought in new rules to govern these transactions and we welcome this development as it makes these transactions far more transparent.

Although the new rules do not preclude us from using pre-packs, they are now only appropriate in certain circumstances.
